Hauppauge WinTV USB-Live2 USB 2.0 analog capture device with covert to digital format
Does what you expect. The two bit of capture/editing software that come with it are a bit clunky but the WinTV 7.?? captures to MPEG2 OK. (You'll need to hunt through the forums to find out how to change the the settings for the various presets, but it's not difficult and you can get quite reasonable MPEG2 captures up to 15Mbps with 48Khz MPEG layer 2 audio up to 384Kbps. It will also capture to avi using 3rd party programs, although it may take a bit of messing around to sort out audio volume and sync problems with some of the 3rd party programs.
Slightly cleaner MPEG2 captures with this than from my old Hauppauge PVR150 and the sound quality is noticeably better. Still playing with the avi side of things.
The composite, s-video and audio cables are all very thin and fragile looking, but I think you can buy these separately should you need to.
