Terms & Conditions (Abridged)
These Terms are a legal agreement between Ebuyer UK Limited, Howden, East Yorkshire, DN14 7UW, registered in England number 03941136 (“Ebuyer UK”, “we”) and You (“Affiliate”, “you”). Ebuyer UK may change these Terms without notice. Continued use of the Scheme after any changes shall constitute your consent to such changes. Age Restriction
You must be 18 years of age or older to join this Scheme.
Registration
You must provide your full legal name, a valid email address, and any other information requested to complete the sign-up process for an Affiliate account (“Account”). Once you have been approved for the affiliate programme, you will be provided with a unique URL link that will be used to identify you when placing a link from your channels or other communications to the Ebuyer UK website. It is your responsibility to ensure the link is used correctly. Incorrect use of the link may result in lost commissions – this will be responsibility of the affiliate and not Ebuyer. We may also provide graphical images that can be used within the links to promote Ebuyer UK. You may not modify these images in any way without prior consent and approval. We reserve the right to change the images at any time without notice. You are responsible for the security of any usernames, passwords and referral links issued to you.
Commission and Payment
For a commission to be eligible, the customer must click-through using your link to the Ebuyer UK website and make a purchase within 30 days of the initial click- through. If they fail to purchase within those 30 days and later return without following your link, you will not earn a commission fee. We will only pay commission fees on links that are automatically tracked and reported by our systems. For our systems to track the referral, the visitor must have cookies enabled. We will not pay commission fees if someone claims they purchased through your link, but it was not tracked by our system. Our service works based on the industry standard concept of 'last cookie counts' meaning that the conversion will be credited to the last affiliate who referred the visitor. The commission fee is calculated from the net sales value of an order and does not include shipping costs and VAT. The purchase of gift vouchers is excluded from any commission calculations. The commission fee will be credited to your Affiliate account 30 days after the order is shipped. Commission fees are only earned if a customer makes a payment in full. Customer payments refunded or payments charged-back due to credit card fraud do not qualify for commission fees. Accrued commission fees are paid monthly in arrears. The commission fee structure is subject to change at our discretion. The current structure can be viewed on your affiliate account. We reserve the right to disqualify commissions earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. Ebuyer’s decision on disqualified commission is final and no arbitration will be entered into. All commission payments are deemed to be inclusive of any VAT and other taxes that the Affiliate may be or become liable to pay. Any such taxes incoming personal tax shall be the responsibility of, and payable by the Affiliate.
Promotional Products
At their discretion Ebuyer may provide you, the Affiliate, with promotional products for you to create content. This product may be on loan or as a permanent placement. If a loan the product must be returned to Ebuyer within 30 days of receipt. If a permanent placement the product may not be sold at any time.
Termination
The term of this Agreement will begin upon our acceptance of your Scheme application and will end when terminated by either party. Either party may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this Agreement. Notice to Ebuyer UK must be given to [email protected] Ebuyer UK reserve the right to end the Scheme at any time. Upon Program termination, Ebuyer UK will pay any legitimate outstanding earnings.
Limitation of Liability
Ebuyer UK's total liability in contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in connection with the performance or contemplated performance of this agreement shall be limited to the commission due to the Affiliate. Nothing in these conditions excludes or limits the liability of the Supplier for death or personal injury caused by the Supplier's negligence or fraudulent misrepresentation.
Applicable
Law These terms of sale and the supply of the goods will be subject to English law and the English courts will have jurisdiction in respect of any dispute arising from the contract.
